Company Name vs Trademark in India: Does Registering a Company Protect Your Brand?
Company name vs trademark: they are different rights. Your company name, approved by the MCA, only stops ROC from registering an identical company name. A trademark, registered with the Trade Marks Registry, protects your brand name or logo for specific goods or services across India. Register the company first, then file a trademark.
What is the difference between a company name and a trademark?
A company name is the legal name of your entity, approved by the Registrar of Companies (ROC) under the Companies Act, 2013. A trademark is a word, logo or other mark that identifies your goods or services, registered with the Trade Marks Registry under the Trade Marks Act, 1999.
The MCA checks company names against other company and LLP names and against registered trademarks. It does not give you a brand right. Approval of a name on the MCA portal is not a trademark registration.
Company name (MCA)
- Identifies your legal entity
- Checked against other company and LLP names
- Does not cover brand, logo or product names
- Gives no right to stop others using a similar brand
Trademark (IP India)
- Identifies your goods or services
- Checked against marks on the Trade Marks Registry
- Can cover a name, logo, slogan or tagline
- Gives a legal right to act against copying in the class
Does registering a company protect my brand name?
No. Registering a company does not protect your brand name as a trademark. It only means ROC will not approve another company with a name that is identical or too similar to yours.
A competitor can still sell under a similar brand name, because company registration does not stop them. Only a trademark registration, or in some cases proven prior use, gives you a basis to object. This is why many founders register the company and the trademark as two separate steps.
Company name
Protects against another company with an identical or too similar name on the ROC register.
Trademark
Protects the brand name or logo for the goods or services you list, across India.
Domain name
Decides who owns the web address. It is not a legal brand right by itself.
Trade name
The name you sell under. It can differ from the company name, and it needs its own protection.
The MCA name rules treat a registered trademark in the same class as a reason to refuse a company name unless the owner gives consent. So check trademarks before you apply for the company name, not after.
How do I protect my brand name in India?
The usual route is to incorporate first, then file the trademark in the company’s name. Filing in the company’s name keeps ownership of the brand inside the business, which matters when you raise funds or sell. See our guides on private limited company setup and trademark consultancy.
- Search the brandRun a trademark search on the IP India public search and check the MCA name availability. Do it before you invest in signage or packaging.
- Pick the classChoose the correct class of goods or services. A mark is protected only for the classes you file in.
- Decide the applicantFile in the name of the company, LLP or firm that will own the brand.
- File Form TM-ASubmit the application online with the fee for each class.
- Reply to the examination reportThe Registry may raise objections. You usually get about a month to reply, and a hearing may follow.
- Publication and oppositionAn accepted mark is published in the Trade Marks Journal. Others can oppose within a limited window, typically up to four months.
- Registration and renewalIf there is no successful opposition, the mark is registered. Protection lasts 10 years and can be renewed.
How much does trademark registration cost in India?
The government fee for Form TM-A is charged per class. Individuals, startups and small enterprises pay a lower rate. Filing online costs less than filing on paper. Always check the current fee table on the IP India website before you file, as fees can change.
Professional fees are separate from government fees. Ask for a written quote that lists the number of classes and any hearing or opposition support. Our trademark class guide helps you choose classes.
Common mistakes founders make with company names and trademarks
Skipping the search
Many rejections come from a similar mark that was easy to find in a search. Search before you commit to the name.
Waiting too long
Filing late leaves a gap in which someone else can apply for a similar mark first.
Wrong class
A mark filed in the wrong class may not cover what you actually sell.
Filing as an individual
If the founder owns the mark personally, you may need an assignment later to move it to the company.
Assuming the MCA check is enough
The name check is a company name check, not a full brand clearance.
Changing the brand after filing
A new name or logo usually means a fresh application.
A trademark application does not give instant protection from objections. Plan for examination, a possible reply and a possible opposition, and do not print large stocks of packaging until you are comfortable with the risk.
Frequently asked questions
Is a company name the same as a trademark?
No. A company name identifies your legal entity and is approved by ROC. A trademark identifies your goods or services and is registered with the Trade Marks Registry. They are separate rights with separate applications.
Does company registration give trademark rights?
No. Company registration gives you the right to the entity name on the ROC register only. It does not stop others from using a similar brand name. You need a trademark registration for that.
Should I register the company or the trademark first?
Register the company first so the trademark can be filed in its name. Run a trademark search before you pick the company name, so the name is less likely to conflict with an existing mark.
How much does it cost to file a trademark in India?
The government fee for Form TM-A e-filing is Rs 4,500 per class for individuals, startups and small enterprises, and Rs 9,000 per class for others. Professional fees are extra. Ask for a written quote.
How long does a trademark last?
A registered trademark in India lasts 10 years and can be renewed for further 10-year periods on payment of the renewal fee. Renewal is filed on Form TM-R.
Can I use the TM symbol without registration?
Yes. You can use the TM symbol on an unregistered mark. The registered symbol, R in a circle, should be used only after the mark is actually registered.
What is the difference between a trade name and a company name?
A company name is the legal name on the ROC register. A trade name is the name you use to do business, which can be different. A trade name needs its own trademark protection if it is a brand.
