Complete guide
Everything you need to know about annual MCA compliance in India
What are Annual MCA Compliance Services in India?
Annual MCA Compliance Services in India help a company or LLP meet the yearly filing and governance duties set by the Ministry of Corporate Affairs. These include holding the required meetings, adopting audited financial statements, filing annual forms with the Registrar of Companies (ROC), keeping statutory registers and updating director KYC. BizSetups Consulting prepares and files these for Private Limited Companies, Public Limited Companies, LLPs and One Person Companies, so you stay in good standing with the Registrar.
All filings are made on the portal of the Ministry of Corporate Affairs. Forms, fees, thresholds and due dates are notified by the department and can change, so we confirm the current requirements for your entity before we file.
Why annual compliance is mandatory
Registration gives a company its legal identity, but that identity continues only if the company keeps filing. Every company incorporated under the Companies Act, 2013, and every LLP under the LLP Act, 2008, must file annual returns and financial statements, even when it has had no business activity or no profit. A company with no turnover is still a company. Missing filings can lead to additional fees for each day of delay, penalties on the company and its officers, disqualification of directors in certain cases, and, if non-compliance continues for long, the Registrar may begin action to strike the name off the register.
Annual compliance for a Private Limited Company
A Private Limited Company usually deals with the following each year. The exact list depends on the company’s size, capital structure and activity.
- Board meetings: the required number of meetings with minutes recorded.
- Financial statements: preparation and adoption of the balance sheet and profit and loss account, audited by the statutory auditor.
- Annual General Meeting (AGM): held within the period allowed, with notice and resolutions.
- Form AOC-4: filing of financial statements with the Registrar.
- Form MGT-7 or MGT-7A: the annual return. MGT-7A is the shorter form for One Person Companies and small companies, as provided in the rules.
- Form ADT-1: notice of appointment of the auditor, filed when an auditor is appointed or reappointed in the cases where the rules require it.
- Form DIR-3 KYC: yearly KYC for every director holding a DIN, as required by the rules.
- Statutory registers: registers of members, directors and charges kept up to date.
Other forms such as MSME-1 or DPT-3 apply only in specific situations, and we advise whether they apply to you. If you are still choosing a structure, see our Private Limited Company setup page.
LLP annual compliance
A Limited Liability Partnership files two main forms each year with the Registrar. Form 11 is the annual return of the LLP, and Form 8 is the statement of account and solvency. LLPs are also subject to income tax return filing and, where they cross the audit thresholds, audit of accounts. Designated partners must also keep their DIN KYC current where applicable. We coordinate these with related tax and GST checks. For incorporation and structure questions, read our LLP setup page.
One Person Company and Public Limited Company compliance
A One Person Company files AOC-4 and MGT-7A and keeps director KYC current. Because there is a single member, the AGM requirement is relaxed under the Act, though financial statements and the annual return are still filed. You can learn more on our OPC setup page. A Public Limited Company has a heavier calendar, with more board and committee requirements, an AGM, and additional disclosures. Our team confirms what applies once we know your capital, listing status and activity. See our Public Limited Company page for background.
XBRL conversion and filing
Some companies must file their financial statements in XBRL format, which is a structured, machine-readable format. This applies to companies that meet certain criteria on listing, turnover or paid-up capital as set by the Ministry. If you fall in this group, BizSetups converts your statements to XBRL and files them with AOC-4. If you are unsure, we check the criteria for you.
How BizSetups handles your annual MCA compliance
- Document collection: we tell you which documents are needed, such as financial statements, auditor details, shareholding and director information.
- Review and verification: we verify key details, resolutions and registers.
- Preparation and filing: forms are prepared, approved by you and filed within the due dates.
- Records and reminders: you receive filed copies, and we remind you before the next cycle.
Processing generally takes 7 to 10 business working days, depending on document approvals. Annual compliance connects with other services: accounts through bookkeeping and accounting, tax through income tax return preparation, and indirect tax through GST consultancy. Changes in directors, address or capital are handled under company information changes.
Late filing and what to do if you have missed a year
Delayed filings can usually be completed by paying the additional fees prescribed for the delay, which increase with the length of the delay. Long-term default carries more serious consequences. If you have missed one or several years, do not wait. Share what you have, and we will check the position on the portal, prepare the pending forms and advise on the sequence. Fees depend on the number of years, the entity type and the complexity of your records, and we quote them upfront. Call +91 92788 13303 or use the call back form on this page.

Frequently asked questions on annual MCA compliance in India
Short answers to the questions founders ask most.
Who has to file annual MCA compliance?
All Private Limited Companies, Public Limited Companies, LLPs and One Person Companies registered in India must file annual returns and financial statements with the Registrar. The requirement applies even if the entity had no business activity or no profit during the year.
What happens if I file late?
Late filing attracts additional fees, usually charged for every day of delay, and can lead to penalties on the company and its officers. Prolonged default can result in director disqualification in some cases and in action to strike the company off the register. Exact amounts are set by the law and can change.
Is annual compliance required if the company has no turnover?
Yes. A company with no turnover or a dormant LLP must still file its financial statements, annual return and director KYC. Filing a nil-activity year is usually simple and costs far less than letting defaults build up.
What is the difference between AOC-4 and MGT-7?
AOC-4 is the form for filing the company's financial statements, and MGT-7 is the annual return that records details such as shareholders, directors and meetings. One Person Companies and small companies use the shorter MGT-7A. Both are filed with the Registrar each year.
What forms does an LLP file every year?
An LLP files Form 11, the annual return, and Form 8, the statement of account and solvency. LLPs also file income tax returns and, once they cross the audit thresholds, get their accounts audited. Due dates are notified by the department and can change.
What is XBRL and who needs it?
XBRL is a structured, machine-readable format for financial statements. Only companies meeting certain criteria set by the Ministry of Corporate Affairs, such as listing or turnover and capital limits, must file in XBRL. We check whether it applies to you and handle the conversion.
What is director KYC?
Director KYC, filed on Form DIR-3 KYC, is the periodic update of a director's personal details linked to the DIN. Every director holding a DIN must complete it as the rules require. A missed KYC can lead to the DIN being deactivated until it is filed with a fee.
Can you file my delayed or pending returns?
Yes. Delayed filings can usually be completed with the additional fees. Long-term non-compliance may lead to strike-off, so act early. We review the portal status, prepare the pending years and advise on the order of filing.
How long does annual compliance take?
Our process takes about 7 to 10 business working days from receiving complete documents, depending on document approvals and your auditor's timeline. Starting early gives you a buffer before the due dates.
Which documents do you need from us?
It depends on the entity. Typically we need the financial statements or books, auditor details, shareholding and director information, and previous filings. After a short review we send you a clear checklist, so there is no guesswork.
How much does annual MCA compliance cost?
BizSetups offers fixed pricing with no hidden fees. The amount depends on the entity type, the forms due, the number of pending years and the state of your records. We confirm the fee after a short call, before you commit.
